How to Open a Sole Proprietorship Business?

Sole proprietorship is a type of business in which only the owner, known as the sole proprietor, is responsible alone for all investment of capital and management of the business. He enjoys the profit solely and also suffers the risk alone. Sole proprietorship is the oldest and most common form of business in India. This is because sole proprietorship business enjoys several advantages which are not found in any other type of business. As the owner is solely responsible for the management of the firm, he can control the firm independently and can take quick decisions in every situation. He is motivated to work because he enjoys the profit solely and has a personal touch with the firm. Dissolution of the firm can be done easily due to least restrictions. It is also economical to start a sole proprietorship business because almost no formalities are present in its formation.

Sole proprietorship business can be formed easily as only the following things are required:

    Name of the organization, provided that it is not already trademarked by any other firm. Sole proprietor must register the name of firm soon after thinking the name of the organization.

    Owner must select the type of product he wants to deal in. He should check that the product he chose is legal in the eyes of law.

    A good site must be selected for setting up the business. He must check whether there is demand of the particular product in that area.

    Proprietor should open a bank account in the nearby bank so that he can deal with the customers in cheque, in case of transactions of bulky amount.

    Advertisement of the firm must be present in the most suitable type of media used nearby.

    A website can be made if the proprietor wants to flourish his business in future. Creating website will provide knowledge to general public about the firm.

    Proprietor must register for tax other than income tax. Some taxes which he should register are service tax, professional tax, etc. depending upon the condition of the firm.

Procedure to get Importer/Exporter Code (IEC) Number

After deciding business the place is very much important thing from which place your business can grow fast. And a very important thing after this is to get the IEC (Importer Exporter Code) Number. Here in this article “how to get an importer exporter code number (IEC number) in India” this is basically for those who have an interest to start the business of import export into or from India. Export at these days is one of the most high-income businesses in India. The income from export business is also exempted from tax to the specified extend under the income tax act, 1961. There is no sales tax/VAT on exports. Ministry of Commerce has also allowed duty free import on raw material under various circumstances. So, If you want to import or export goods into or from India, you have a valid Import-Export Code number (IEC number). The customs authorities will permit you to import or export goods if you have a valid Importer-Exporter Code (IEC) number. So everyone who want to start export goods or imports goods must understand the procedure to get IEC number. Now the procedure become very simple to get IEC number because of Policy Cirulcar No.15(RE-2006)/2004-2009 Date:27th July, 2006).

Introduction

The IEC code is unique 10 digit code issued by DGFT- Director General of Foreign Trade, Ministry of Commerce, Government of India to Indian Companies. An application for grant of IEC number shall be made by the Registered/Head Office of the applicant and apply to the nearest Regional Authority of Directorate General Foreign Trade, the Registered office in case of company and Head office in case of others, falls in the ‘Aayaat Niryaat Form – ANF2A’ and shall be accompanied by documents prescribed therein. In case of STPI/ EHTP/ BTP units, the Regional Offices of the DGFT having jurisdiction over the district in which the Registered/ Head Office of the STPI unit is located shall issue or amend the IECs. There are to ways to apply Importer-Exporter Code number as following.

An applicant may now choose one of the two options for application submission:

    File an online application and submit a physical copy of the application by taking a printout of the online application.
    Submit a physical copy of the application directly at the regional DGFT office.

Procedure of online application

    Applicants can file an on-line application at the DGFT web-site http://dgft.gov.in. On-line form has been designed to ensure feeding of all the required information by prompting user wherever a field is left blank. Applicant has to submit scanned copies of PAN and bank certificate along with their application.

    There are 2 options for payment of fee.

    If fee is paid by Demand Draft, IEC will be generated only after receipt of the physical copy of the application.

    If IEC application fee is paid through Electronic Fund Transfer facility, IEC number will be generated by the licensing office automatically and the number can be viewed online by the applicant.

    On the receipt of physical copy of the application, the same IEC will be printed in 24 hours time and dispatched to the firm.

Procedure for Physical Application

    One copy  of the application must be submitted. Aayaat Niryaat Form – ANF2A
    Demand  Draft  of   Rs. 250  evidencing  payment  of  application  fee  in  favor  of  the  concerned regional office of DGFT. Money can also be paid through Electronic Fund Transfer (EFT).
    Certificate from the Banker of the applicant firm in the specified  format. Appendix 18A
    Self certified copy of Permanent Account Number (PAN) issued by Income Tax Authorities.
    Two copies of passport size photographs of the applicant
    Photograph on the banker’s certificate should be attested by the banker of the applicant.
    Self addressed envelope and stamp of Rs. 30.
    These documents may be kept secured in a file cover.

The above documents may be sent by post or hand delivered at the concerned regional DGFT office.

The IEC number should normally be given within two working days provided the application is complete in all respects and is accompanied by the prescribed documents.

Hints for filling IEC Applications

    Each page of the application form should be signed by applicant
    Enclosed documents should be self attested.
    One photograph of applicant shall be attested by the applicant’s banker.

Directors of the Company
First acknowledge the Directors of the Company. Minimum of two directors need to present and Maximum of 8 is allowed. All Directors should have DIN (Directors Identification Number). If you do not have one you can apply DIN online at www.mca.gov.in. It will allot provisional DIN immediately.

Register the name of the company

After obtaining DIN, you need to apply for the company name. You should give 5-6 names in the order which you prefer. It will be applied on e-Form 1A, online. The fees are Rs. 500/-. You can pay through your credit card or available option. It took normally 2 to 3 days to get the name locked. You can check the availability of the name at MCA Portal by clicking ‘Track Transaction Status’. If the name is not available you can apply for the fresh name on same application.

Incorporation

After register the name with Registrar, you must complete registration within 60 days from the date of approval of name by Registrar (Reduced from ’6 months’ vide companies (Central Government’s) General Rules and Forms (Third Amendments) Rules, 2007, we.f. 19.11.2007

The following documents are to be filed with fees electronically.

    Statutory declaration in e-form 1.
    Memorandum of Association (Scanned Copy)
    Articles of Association (Scanned Copy)
    Power of Attorney
    e-Form 18 – Notice of situation of registered office.
    e-Form 32 – Particulars of Directors

You have to submit the following documents to ROC office with the covering letter.

    Copy of memorandum and Articles of Association duly stamped and signed by promoters.
    Form No. 1 on stamp paper of requisite value.
    Power of Attorney from all the promoters.
    Copy of SRN Challan.

The ROC will send the certificate of incorporation shall be sent to you by post. You can check the status by filling up the SRN Challan number. You will also receive email from MCA office along with incorporation certificate.

Opening Bank Account on the name of company
The company now can open a bank account in its name for which a copy of the memorandum and articles of association will be submitted to banker.

Distinction Between A Public Company And a Private Company

Following are the main points of difference between a Public Company and a Private Company :-

1. Minimum Paid-up Capital : A company to be Incorporated as a Private Company must have a minimum paid-up capital of Rs. 1,00,000, whereas a Public Company must have a minimum paid-up capital of Rs. 5,00,000.

2. Minimum number of members :
Minimum number of members required to form a private company is 2, whereas a Public Company requires atleast 7 members.

3. Maximum number of members : Maximum number of members in a Private Company is restricted to 50, there is no restriction of maximum number of members in a Public Company.

4. Transferability of shares : There is complete restriction on the transferability of the shares of a Private Company through its Articles of Association , whereas there is no restriction on the transferability of the shares of a Public company

5 .Issue of Prospectus : A Private Company is prohibited from inviting the public for subscription of its shares, i.e. a Private Company cannot issue Prospectus, whereas a Public Company is free to invite public for subscription i.e., a Public Company can issue a Prospectus.

6. Number of Directors : A Private Company may have 2 directors to manage the affairs of the company, whereas a Public Company must have atleast 3 directors.

7. Consent of the directors : There is no need to give the consent by the directors of a Private Company, whereas the Directors of a Public Company must have file with the Registrar a consent to act as Director of the company.

8. Qualification shares :
The Directors of a Private Company need not sign an undertaking to acquire the qualification shares, whereas the Directors of a Public Company are required to sign an undertaking to acquire the qualification shares of the public Company .

9. Commencement of Business :
A Private Company can commence its business immediately after its incorporation, whereas a Private Company cannot start its business until a Certificate to commencement of business is issued to it.

10. Shares Warrants : A Private Company cannot issue Share Warrants against its fully paid shares, Whereas a Private Company can issue Share Warrants against its fully paid up shares.

11. Further issue of shares : A Private Company need not offer the further issue of shares to its existing share – holders, whereas a Public Company has to offer the further issue of shares to its existing share – holders as right shares. Further issue of shares can only be offer to the general public with the approval of the existing share – holders in the general meeting of the share – holders only.

12. Statutory meeting :
A Private Company has no obligation to call the Statutory Meeting of the member, whereas of Public Company must call its statutory Meeting and file Statutory Report with the Register of Companies.

13. Quorum : The quorum in the case of a Private Company is TWO members present personally, whereas in the case of a Public Company FIVE members must be present personally to constitute quorum. However, the Articles of Association may provide and number of members more than the required under the Act.

14. Managerial remuneration : Total managerial remuneration in the case of a Public Company cannot exceed limit prescribed . Whereas these restrictions do not apply on a Private Company.

15. Special privileges : A Private Company enjoys some special privileges, which are not available to a Public Company.
